The invention provides a polyester catalyst with antibacterial and osteogenic activity, which is prepared by the following steps: carrying out pre-polycondensation on dicarboxylic acid or dibasic ester and excessive dihydric alcohol to fully react to form a prepolymer; and carrying out transesterification on the prepolymer by using a zinc catalyst, and simultaneously reducing the pressure to continuously remove small molecular byproducts. Compared with the prior art, the invention has the following prominent advantages: (1) the invention provides a novel transesterification catalyst, zinc is an important metal element in a living body, has the characteristics of no toxicity and absorbability, has biological activity and has a promoting effect on proliferation of bone osteoblasts of a human body, and meanwhile, zinc ions have a bactericidal effect, so that the catalyst is a novel transesterification catalyst; and the catalyst is low in cost, can be used massively, and can be applied to the field of biomedicine. And (2) the aliphatic polyester prepared by the invention has the characteristics of degradability and strong safety, and has good market space and value.
